1. Acceptance and scope
These terms apply to your access to and use of the Temen Systems website, storefront, catalog, cart, AI-assisted experiences, contact tools, and related digital services. By using these services, you agree to these terms and the Privacy Policy. If you use the services for an organization, you represent that you are authorized to act for that organization.
You must be legally able to enter into a binding agreement. The services are designed primarily for business and professional use and are not directed to children.
2. Website information and AI-assisted guidance
Catalog descriptions, comparisons, estimates, examples, articles, demonstrations, and AI-generated responses are provided to help you evaluate options. They may not include every vendor rule, dependency, entitlement, regional restriction, program change, or fact about your environment.
Debbie and other AI experiences do not make binding commercial commitments and may not approve eligibility, discounts, contractual rights, compliance, security, or architecture. You are responsible for reviewing recommendations and providing accurate information. Temen may require specialist or vendor validation before accepting or fulfilling an order.
3. Products, orders, licensing, and fulfillment
Catalog and availability
Products, pricing, discounts, availability, specifications, images, delivery estimates, and descriptions may change. We may correct errors, update information, limit quantities, request additional information, reject or cancel an order, or provide a quote when a transaction requires assisted sourcing.
Licensing responsibility
Software and cloud services are subject to publisher terms, program rules, eligibility criteria, geographic restrictions, qualifying-license requirements, minimum quantities, subscription commitments, renewal rules, and use rights. You are responsible for accurate user, device, workload, tenant, agreement, organization-type, and region information. Purchase or storefront availability does not override vendor requirements.
Order acceptance and payment
Submitting an order is an offer to purchase. An order is accepted only when confirmed by Temen or the applicable fulfillment provider. You authorize the collection of applicable charges, taxes, fees, and approved recurring amounts. Payment processing may be provided by Shopify or another payment provider under its applicable terms.
Delivery, returns, and refunds
Delivery method and timing vary by product, vendor, program, validation, and order type. Digital keys, subscriptions, activated licenses, special orders, and vendor-processed products may have restricted cancellation or refund rights. The product page, order confirmation, quote, vendor rule, and applicable refund or fulfillment policy control the specific transaction.
4. Professional, managed, and support services
Transformation, AI, cloud, implementation, migration, training, managed services, support, staffing, and other professional services require a separate quote, order, statement of work, service agreement, or similar written authorization. That agreement defines scope, responsibilities, assumptions, exclusions, fees, acceptance, service levels, intellectual property, security, data handling, and change control.
If these website terms conflict with a signed customer agreement for a specific service, the signed agreement controls for that service.
5. Accounts, security, and acceptable use
You are responsible for activity under your account and for protecting credentials. You must not use the services to violate law or third-party rights, submit malicious instructions, probe or bypass security, interfere with service operation, scrape or overload the site, impersonate another person, introduce harmful code, manipulate AI safeguards, obtain unauthorized data, or use product information for fraud or unlawful resale.
Do not provide passwords, payment-card data, product keys, tenant secrets, health information, or other highly sensitive information through general forms or chat. We may restrict or suspend access when reasonably necessary to protect users, Temen, partners, or the services.
6. Intellectual property
The website, design, text, graphics, demonstrations, software, trademarks, and other Temen content are owned by Temen or its licensors and are protected by applicable intellectual-property laws. You may use the site for legitimate evaluation and purchasing. You may not reproduce, distribute, modify, reverse engineer, remove notices from, or commercially exploit site content except as permitted by law or written authorization.
Vendor names, marks, product information, and content belong to their respective owners. No ownership or license is transferred except for the rights expressly provided with a purchased product or signed agreement.
7. Third-party platforms, products, and links
The services may rely on or link to Shopify, Microsoft, publishers, distributors, payment providers, scheduling providers, cloud platforms, and other third parties. Their products, availability, security, privacy practices, and terms are controlled by them. Temen is not responsible for independent third-party services except to the extent expressly stated in a customer agreement or required by law.
8. Disclaimers
To the maximum extent permitted by law, the website and general digital services are provided on an as-available basis. Temen does not warrant that all content will be complete, current, uninterrupted, or error-free, or that a product or recommendation will be suitable without validation of the customer’s actual requirements.
Nothing on the site is legal, tax, accounting, regulatory, or other professional advice. Technical and licensing guidance depends on the facts provided, vendor terms, and the applicable agreement.
9. Limitation of liability
To the maximum extent permitted by law, Temen will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from use of the general website or digital services. Any liability relating to a purchased product or professional service is subject to the terms controlling that transaction or service.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the extent permitted by law and do not limit rights that cannot legally be waived.
10. Indemnity
To the extent permitted by law, you agree to defend and hold Temen and its personnel harmless from third-party claims arising from your unlawful use of the services, violation of these terms, infringement of third-party rights, misuse of an account, or information and instructions you provide. This does not apply where prohibited by law or to the extent a claim results from Temen’s own conduct.
11. Changes, suspension, and general terms
We may update the services and these terms. The revised terms will be posted with an updated date, and additional notice will be provided where required. We may suspend or discontinue features, or restrict access for security, maintenance, legal, vendor, or operational reasons.
Signed transaction or service terms control where applicable. Otherwise, these terms are governed by applicable law, without overriding mandatory consumer protections or other rights that cannot be waived. If one provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver.
